The sale of a business is a complex process requiring experience in many disciplines.  Middle South has the experience to determine what your options are, the relative value of each option and to make recommendations on alternative courses of action. 

 

Middle South assists sellers in the following areas:

  • Planning - In addition to determining workable timelines and realistic sale price and terms, Middle South's planning function typically involves:  valuation, financial analysis, pro forma and adjusted financial statement preparation and a qualitative review of the business to identify intangible strengths that enhance value and salability.

  • Descriptive Information - Preparation and presentation of the relevant business information  to provide prospective buyers with a clear understanding of the business, its strengths, profit opportunities, and growth possibilities.

  • Buyer Selection - Find and qualify multiple buyer candidates through contacts with (i) synergistic acquiring companies in the proprietary Middle South database, (ii) confidential direct contacts to identified target prospects, and (iii) international acquirers and affiliated professional intermediaries linked through the M&A / broker network. A significant portion of the value of a given divestiture or sale can be determined through proper compilation of the list of potential buyers.

  • Marketing - Implement proven techniques that are designed to find strategic buyers and create a competitive acquisition environment that will result in the company being sold to the right buyer while obtaining maximum value for the business.

  • Negotiating the Transaction - Assist the seller with negotiations, creating a transaction structure that takes into account tax, financial, and technical aspects of the sale to reach win/win solutions to issues that often obstruct the consummation of a transaction. This will include coordinating due diligence, transaction documentation and other support required to expedite the successful conclusion of a transaction.

Real Estate Brokerage Services

 

Middle South Realty, a division of Middle South Ventures, performs primarily commercial real estate brokerage activities in the St. Tammany Parish, LA region.

 

Doug Dunbar is a licensed real estate broker and Middle South Realty is a licensed real estate brokerage firm registered under the rules and regulations of the LA Real Estate Commission.

 

Under LA law, certain common corporate brokerage and M&A activities are considered "real estate activities".   Consequently, Middle South representatives performing these activities are required to be, and are, licensed realtors with the LA Real Estate Commission, either as a real estate broker or a licensed real estate salesperson working for a broker.  See below and "Real Estate Law and Business Sales"  for more information.

 

When dealing with anyone conducting business sale activities, you should confirm that they are licensed realtors under LA law.  To determine the licensing status of any individual with the LA Real Estate Commission, see the commission's web site at http://www.lrec.state.la.us/
