In securities issuance situations, Middle South generally acts as advisor to the issuer and coordinates all phases of the process, including documentation and the selection of the best placement agent or underwriter.  To reach the largest market possible for its issuer's securities, Middle South typically works directly with its network of direct institutional purchasers, private placement agents (in the case of smaller non-public offerings) and underwriting groups (in the case of larger, public offerings).  Fees are typically success based.

In addition to designing and implementing new securities financing programs, Middle South has extensive experience in evaluating the cost and terms of outstanding financings.  Our direct debt analysis and refunding experience includes in excess of $800 million for which our principal received an award from the Chairman of the Board of Entergy Corporation.

As is the case with Middle South's merger and acquisition activities, tax considerations are critically important in structuring the right long-term financing mix to minimize capital financing costs and obtain terms and conditions that work for the corporate issuer / governmental authority.

With 16 years of regulatory financing experience in the taxable and tax-exempt markets, Middle South specializes in utility financing and has excellent tax-exempt financing programs for qualified utilities and regulated entities.
